To remove Andreas D. Addison and J. E. Lincoln Saunders from the Board of Directors of the Greater Richmond Transit Company and to provide for the appointment of Nicole Jones and Sharon Ebert as two of the City of Richmond’s three Directors of the Greater Richmond Transit Company for the period commencing upon such appointment and terminating on the date of the 2025 annual meeting of shareholders upon the election and qualification of the successors to these Directors.

WHEREAS, the City of Richmond owns one-half of all outstanding shares of the common stock of Greater Richmond Transit Company; and
WHEREAS, pursuant to the by-laws of the Greater Richmond Transit Company, the City of Richmond has the right to remove City Directors and to appoint directors to fill a vacancy within the City Directors; and
WHEREAS, the Council of the City of Richmond desires to remove Andreas D. Addison, and J. E. Lincoln Saunders as Directors and to appoint Nicole Jones and Sharon Ebert to serve as Directors of the Greater Richmond Transit Company; and
WHEREAS, for the avoidance of doubt, Ellen F. Robertson, as previously appointed as a Director of the Greater Richmond Transit Company pursuant to Resolution No. 2024-R033, adopted September 23, 2024, shall continue to serve the remainder of her current term;
NOW, THEREFORE,
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF RICHMOND:
That Andreas D. Addison, and J. E. Lincoln Saunders are removed as Directors of the Greater Richmond Transit Company and that Nicole Jones and Sharon Ebert are hereby appointed to serve as members of the Board of Directors of the Greater Richmond Transit Company for a term commencing upon adoption of this Resolution and expiring at the 2025 annual meeting of the Greater Richmond Transit Company.
